GovernanceBridge’s compensation structure is based solely on governance support and structural coordination performed in a structural and coordinative capacity. It is not compensation for professional services, referrals, transactions, or regulated advisory activities.

These principles ensure that the Platform’s compensation remains structurally independent from professional services, product sales, and transactional activities, thereby preserving its positioning as a non-sales governance support platform and reinforcing that professional determinations are made independently by licensed professionals.

I. Governance Support Compensation

Compensation is based solely on governance support and structural coordination services and is not contingent on any professional service or transactional outcome.

II. Non-Transactional

The Platform does not receive commissions, referral fees, or transaction-based compensation, and its compensation remains structurally independent from transactional arrangements.

III. Professional Compensation Independence

Professional fees are earned and collected independently by licensed professional institutions and professionals. The Platform does not set, share, allocate, or receive professional fees and does not receive compensation as a result of clients engaging professional services.

IV. Structural Separation

The Platform’s compensation does not constitute professional fee sharing, referral compensation, transactional consideration, or any component of professional service compensation.

V. Client-Paid

Compensation is paid by recipients of the Platform’s governance support and structural coordination services. Professional institutions do not compensate the Platform based on professional engagements.

Compensation is determined based on the nature, scope, and continuity of governance support and coordination services, and is not based on transaction size, asset value, professional service scope, or outcomes.

These principles ensure the Platform’s compensation remains structurally independent and clear, the Platform does not receive referral fees or commissions, and the compensation structure remains defensible from a regulatory perspective as part of the governance framework.
